1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of ProductOS, an AI-powered product planning and execution platform operated by ProductOS tech, a private limited company incorporated under the laws of India ("ProductOS", "we", "us", or "our").
These Terms apply to all individuals and organizations that access or use ProductOS, including users of free plans, paid subscriptions, and enterprise services.
By creating an account, clicking to accept these Terms, purchasing a subscription, or using the Services, you agree to these Terms and the applicable policies referenced herein.
If you use ProductOS on behalf of a company or other organization:
- You represent that you are authorized to accept these Terms on behalf of that organization.
- The organization will be the customer under these Terms.
- You agree to ensure that authorized users comply with these Terms.
If you do not agree to these Terms, you must not access or use ProductOS.
2. Definitions

"Model-Improvement Processing" means the use of Customer Content to train, fine-tune, evaluate, or otherwise improve ProductOS’s own internal AI models, for the sole purpose of improving the quality, accuracy, and reliability of AI Outputs across the Services. It applies irrespective of Subscription plan. It does not include selling, licensing, or otherwise disclosing Customer Content to any third party, and it does not include using one Customer’s Content to generate outputs delivered to another Customer.
3. Description of Services
ProductOS provides an AI-powered platform designed to support product discovery, product documentation, requirements management, project execution, and related workflows.
The Services may include:
- Idea management and product discovery.
- Product requirement document generation and refinement.
- AI-assisted analysis and recommendations.
- Project and execution management.
- Ticket creation and related integrations.
- Context sharing and retrieval across connected systems.
- Analytics, reporting, and other product intelligence capabilities.
ProductOS may introduce, modify, improve, or discontinue features in accordance with these Terms and applicable law.
Your access to particular features depends on your Subscription, permissions, and any applicable enterprise agreement.
4. Account Registration and Security
To access certain features, you must create an account and provide accurate and complete information.
You agree to:
- Provide truthful and up-to-date registration information.
- Maintain the confidentiality of your account credentials.
- Notify ProductOS promptly if you suspect unauthorized access to your account.
- Use appropriate access controls when inviting other Users.
- Ensure that your use of the Services complies with these Terms and applicable law.
You are responsible for activities conducted through your account, except to the extent caused by circumstances for which ProductOS is legally responsible.
Workspace administrators may manage Users, roles, permissions, and access to Customer Content within their workspace.
If you use ProductOS through an organization, your access and data rights may also be subject to that organization's policies and administrative controls.
5. Customer Content and Intellectual Property
5.1. Ownership of Customer Content
As between you and ProductOS, you retain all rights, title, and interest in Customer Content, subject to the rights of third parties.
You represent that you have the rights, permissions, and legal authority necessary to provide Customer Content to ProductOS and to authorize its processing as described in these Terms.
5.2. License to Provide the Services
You grant ProductOS a limited, non-exclusive, worldwide license to host, store, reproduce, transmit, process, and otherwise use Customer Content as reasonably necessary to:
- Provide and operate the Services.
- Generate AI Outputs requested by you.
- Maintain, secure, and support the Services.
- Troubleshoot technical issues and prevent misuse.
- Comply with applicable legal obligations.
- Carry out other data-processing activities expressly described in these Terms and applicable policies, including Model-Improvement Processing as described in Section 6.2.
This license is limited to the purposes described in these Terms and does not transfer ownership of Customer Content to ProductOS.
5.3. AI Outputs
As between you and ProductOS, and to the extent permitted by applicable law, you retain any rights ProductOS may have in AI Outputs generated specifically for you through your use of the Services.
This does not guarantee that:
- Every AI Output is eligible for intellectual property protection.
- AI Outputs are unique or exclusive to you.
- AI Outputs are free from third-party rights or restrictions.
- Similar or identical outputs will not be generated for other users, based on generally learned patterns rather than another specific Customer’s Content (see Section 6.2).
You are responsible for determining whether AI Outputs are suitable for your intended use and whether additional permissions are required.
5.4. ProductOS Intellectual Property
ProductOS and its licensors retain all rights, title, and interest in ProductOS Technology, including the platform, software, models, algorithms, interfaces, workflows, templates, and underlying technology.
Except for the limited rights expressly granted under these Terms, no ownership rights in ProductOS Technology are transferred to you.
You may not copy, modify, distribute, reverse engineer, or create derivative works of ProductOS Technology except where expressly permitted by ProductOS or applicable law.
5.5. Feedback
If you provide suggestions, feedback, or ideas regarding the Services, you grant ProductOS a non-exclusive, worldwide, royalty-free right to use and incorporate that feedback to improve its products and services, without compensation to you.
This provision does not grant ProductOS additional rights to confidential Customer Content beyond those expressly described in these Terms.
6. Artificial Intelligence and Model Improvement
6.1. Use of Artificial Intelligence
ProductOS uses internally developed artificial intelligence models and third-party AI technologies to provide features such as document generation, analysis, recommendations, and product execution assistance.
AI systems may produce inaccurate, incomplete, outdated, or inconsistent outputs.
You acknowledge that AI Outputs are generated through probabilistic systems and may not always reflect the full context, intent, or requirements of your organization.
6.2. Use of Customer Content to Improve ProductOS Models
Irrespective of your Subscription plan — including Free, Starter, Growth, and Enterprise — ProductOS may use Customer Content to train, fine-tune, evaluate, and otherwise improve ProductOS's own internal artificial intelligence models, for the purpose of improving the quality, accuracy, and reliability of AI Outputs across the Services.
ProductOS will not sell, license, rent, or otherwise disclose Customer Content to any third party for that third party's own independent purposes, and will not use one Customer's Content to generate AI Outputs delivered to another Customer.
If you do not want your Customer Content used for this purpose, you may contact us in writing at hi@productos.live. ProductOS will respond and act on your request within 30 days of receipt, and will confirm the resulting arrangement to you in writing. Once actioned, your Customer Content will be excluded from future Model-Improvement Processing; see Section 14.4 regarding processing that occurred before your request was received.
Regardless of Subscription plan: (a) ProductOS does not sell Customer Content to external parties as a commercial data product; (b) Customer Content used to improve ProductOS's models remains within ProductOS's control and is not shared with other Customers or the public; and (c) Customer Content may still be processed by third-party service providers, including AI technology providers and infrastructure providers, solely as reasonably necessary to deliver the Services, subject to the safeguards described in Section 8. This delivery-related processing is separate from, and not conditioned on, use of Customer Content to improve ProductOS's own models.
6.3. Customer Data and Third-Party AI Providers
ProductOS may transmit relevant Customer Content to third-party AI providers to generate outputs, operate features, or improve the Services.
The use of such providers may involve processing or storing data in jurisdictions outside your country of residence.
ProductOS describes relevant data-processing practices and applicable safeguards in its Privacy Policy and in Section 8 of these Terms.
6.4. Human Review and Customer Responsibility
You are solely responsible for reviewing and validating all AI Outputs — including generated tickets, PRDs, alignment scores, and recommendations — before relying on them, acting on them, or allowing them to be implemented in connected systems (including Jira, Linear, Notion, GitHub, or any other integrated tool). ProductOS does not guarantee that AI Outputs will be accurate, complete, suitable for a particular purpose, or free from errors, and AI Outputs are not a substitute for engineering, product, or business judgment. You remain solely responsible for all engineering, product, and business decisions made using AI Outputs, and for any consequences of implementing AI Outputs without independent review.
6.5. No Exclusivity of AI Outputs
AI Outputs may not be unique. ProductOS may generate similar or identical outputs for other Customers based on similar inputs, patterns, or model behavior learned in the aggregate — not based on any other specific Customer's Content, consistent with Section 6.2.
Nothing in these Terms guarantees exclusive rights in AI Outputs or prevents ProductOS from independently developing similar features or capabilities.
7. Acceptable Use Policy
You agree to use ProductOS only for lawful purposes and in accordance with these Terms.
You must not:
- Use the Services in violation of applicable laws or third-party rights.
- Upload or transmit content that you do not have the right to provide.
- Attempt to gain unauthorized access to accounts, systems, workspaces, or data.
- Interfere with the security, availability, or integrity of the Services.
- Circumvent usage limits, rate limits, access controls, or technical safeguards.
- Use automated means to scrape, extract, or collect data from the Services without authorization.
- Use ProductOS Technology or protected AI Outputs to develop competing products or models in violation of these Terms or applicable law.
- Upload malware or other malicious code.
- Use the Services to violate another person's privacy or intellectual property rights.
- Misuse integrations or connected systems, including by accessing data without authorization.
- Use the Services to generate or distribute unlawful, fraudulent, or harmful content.
ProductOS may investigate suspected violations and take reasonable action, including restricting, suspending, or terminating access, subject to applicable law.
8. Privacy, Data Protection, and Security
8.1. Privacy Policy
Your use of ProductOS is also governed by the ProductOS Privacy Policy, which describes how personal data is collected, used, disclosed, stored, and otherwise processed.
The Privacy Policy is incorporated into these Terms by reference.
ProductOS does not maintain a separate Data Processing Addendum. These Terms, together with the Privacy Policy, set out the complete terms on which ProductOS processes Customer Content and any personal data it contains. If your organization requires a separately executed data processing agreement as a condition of using the Services, contact hi@productos.live to discuss.
8.2. Data Processing
Where Customer Content includes personal data, you (or your organization) act as the party determining the purposes of that data's inclusion in the Services, and ProductOS processes it to provide the Services, generate AI Outputs, secure and support the Services, and carry out Model-Improvement Processing as described in Section 6.2.
ProductOS engages third-party sub-processors, including cloud infrastructure and AI technology providers, solely as reasonably necessary to deliver the Services. Sub-processors are bound by written obligations of confidentiality and data protection no less protective than those in these Terms. A current list of categories of sub-processors is available in the Privacy Policy or on request at hi@productos.live.
Customers are responsible for ensuring that they have the necessary authority and legal basis to provide personal data to ProductOS and to authorize its processing.
8.3. Security Measures
ProductOS will implement reasonable technical and organizational measures designed to protect Customer Content against unauthorized access, disclosure, alteration, or destruction, which may include encryption of data in transit and at rest, access controls, and monitoring.
The specific measures may be described in applicable security documentation or enterprise agreements.
No method of transmission or storage can be guaranteed to be completely secure.
8.4. Data Breach and Security Incidents
Where a security incident poses a material risk to the confidentiality, integrity, or availability of Customer Content or personal data, ProductOS will notify affected Customers without undue delay, and in any event within 72 hours of becoming aware of the incident, subject to applicable law and the reasonable needs of any investigation. ProductOS will also notify relevant authorities where legally required.
8.5. International Data Transfers
Customer Content may be processed or stored in countries other than the country in which you reside or operate.
Where Customer Content is transferred internationally, ProductOS will apply appropriate contractual, technical, and organizational safeguards consistent with applicable data protection law, including, where applicable, India's Digital Personal Data Protection Act 2023 and equivalent international transfer mechanisms.
9. Third-Party Services and Integrations
ProductOS may integrate with third-party applications, platforms, APIs, and AI providers.
Your use of Third-Party Services may be subject to separate terms and privacy policies imposed by those providers.
You authorize ProductOS to access and process data from connected services as necessary to provide the integrations and features you enable.
You are responsible for ensuring that you have the necessary permissions to connect third-party accounts and authorize data access.
ProductOS is not responsible for third-party services to the extent that their operation is outside ProductOS's reasonable control, subject to applicable law and any express contractual commitments.
ProductOS may modify or discontinue integrations where reasonably necessary, subject to applicable contractual obligations.
ProductOS is not responsible for data loss, duplication, delay, or errors arising from the unavailability, downtime, API changes, rate limits, or malfunction of a connected Third-Party Service, to the extent such issues are outside ProductOS's reasonable control. You are responsible for periodically verifying the accuracy of tickets, PRDs, and other data synced to each connected tool, and for promptly disconnecting an integration if you no longer authorize ProductOS to access it.
10. Subscriptions, Fees, and Payments
10.1. Subscription Plans
ProductOS may offer free, paid, and enterprise Subscription plans.
The applicable plan, pricing, billing frequency, features, usage limits, and other commercial terms will be displayed at the time of purchase or specified in an applicable order form.
10.2. Payment
For paid Subscriptions, you agree to pay the fees specified for your selected plan.
Payments may be processed through third-party payment providers.
You agree to provide accurate billing information and authorize the applicable payment method to be charged according to the selected billing arrangement.
10.3. Subscription Renewals
Where a Subscription renews automatically, the renewal frequency, applicable fee, and cancellation procedure will be disclosed before purchase.
By purchasing an automatically renewing Subscription, you authorize recurring charges until cancellation, subject to applicable law and the applicable billing terms.
10.4. Taxes
Fees may be subject to applicable taxes, duties, and other government charges.
ProductOS will apply taxes and issue invoices in accordance with applicable law.
You are responsible for providing accurate billing and tax information.
10.5. Cancellations and Refunds
You may cancel a Subscription at any time in accordance with the cancellation process applicable to your plan.
Fees already paid for a current billing period are non-refundable, including where you cancel partway through that period. You will retain access to paid features through the end of the billing period you have already paid for.
Once you cancel your Subscription and receive confirmation of that cancellation from ProductOS, no further charges will be made from your next billing cycle onward.
Nothing in these Terms excludes any refund or other right that cannot legally be excluded under applicable law.
10.6. Changes to Fees
ProductOS may change its pricing or Subscription structure.
Where a change affects an existing paid Subscription, ProductOS will provide notice in accordance with the applicable agreement and legal requirements.
Price changes will not override mandatory consumer protections or express enterprise contract terms.
10.7. Enterprise Agreements
Enterprise Customers may enter into separate order forms, subscription agreements, or other written agreements with ProductOS.
Where an enterprise agreement conflicts with these Terms, the enterprise agreement will govern to the extent of the conflict, unless otherwise expressly stated.
11. Confidentiality
11.1. Confidential Information
"Confidential Information" means non-public information disclosed by one party to the other that is identified as confidential or that reasonably should be understood to be confidential given its nature and the circumstances of disclosure.
Confidential Information may include business plans, product roadmaps, technical documentation, security information, customer information, pricing, and other proprietary materials.
11.2. Protection and Use
Each party agrees to:
- Use the other party's Confidential Information only for purposes permitted under these Terms.
- Protect Confidential Information using reasonable safeguards.
- Not disclose Confidential Information to third parties except as permitted under these Terms or applicable law.
ProductOS may disclose Customer Confidential Information to employees, contractors, and service providers who need access to provide the Services, subject to appropriate confidentiality obligations.
11.3. Exclusions
Confidential Information does not include information that the receiving party can demonstrate:
- Is or becomes publicly available without breach of an obligation.
- Was lawfully known to the receiving party before disclosure.
- Is lawfully received from a third party without confidentiality restrictions.
- Is independently developed without use of the disclosing party's Confidential Information.
11.4. Required Disclosure
A party may disclose Confidential Information where required by law or a valid legal process. Where legally permitted, the receiving party will provide reasonable notice to the disclosing party and cooperate with efforts to limit the disclosure.
12. Service Availability, Support, and Changes
ProductOS will use reasonable efforts to maintain the availability and functionality of the Services.
However, uninterrupted or error-free operation is not guaranteed unless expressly provided under a separate written agreement.
The Services may be temporarily unavailable due to:
- Scheduled maintenance.
- Emergency maintenance or security updates.
- Infrastructure or network failures.
- Third-party service disruptions.
- Events beyond ProductOS's reasonable control.
ProductOS may modify, improve, or discontinue features where reasonably necessary to maintain, secure, or improve the Services, subject to applicable law and any express contractual commitments.
Support availability, response times, and service-level commitments will be specified in the applicable Subscription plan or enterprise agreement.
13. Suspension and Termination
13.1. Term
These Terms take effect when you accept them or first access the Services, whichever occurs earlier, and remain in effect until terminated.
13.2. Termination by Customer
You may terminate your account or Subscription in accordance with the applicable cancellation process.
For enterprise Customers, termination will be governed by the applicable enterprise agreement.
13.3. Suspension by ProductOS
ProductOS may suspend or restrict access to the Services where reasonably necessary to:
- Address a security risk or suspected unauthorized access.
- Prevent fraud, abuse, or unlawful activity.
- Respond to a material breach of these Terms.
- Address nonpayment of applicable fees.
- Comply with a legal obligation or valid government request.
Where reasonably practicable and legally permitted, ProductOS will provide notice and an opportunity to remedy the issue before suspension.
13.4. Termination by ProductOS
ProductOS may terminate these Terms for a material breach that remains uncured after any applicable notice and cure period, or where immediate termination is reasonably necessary to comply with law, address serious security risks, or prevent material harm.
ProductOS may discontinue the Services by providing reasonable notice, subject to applicable law and any express enterprise commitments.
13.5. Effect of Termination
Upon termination:
- Your right to access the affected Services will end.
- Any outstanding fees that are legally due will remain payable.
- Your access to Customer Content may be restricted or discontinued.
- Customer Content will be handled in accordance with Section 14 and the applicable Privacy Policy or enterprise agreement.
Termination does not affect rights or obligations that accrued before termination.
14. Customer Data Export, Retention, and Deletion
14.1. Data Export
Following cancellation or termination, ProductOS will provide Customers with no less than 30 days to export eligible Customer Content in a commonly used, machine-readable format (including PRDs, generated tickets, and alignment scores), subject to technical limitations and applicable law. Enterprise Customers may negotiate a longer export window in their order form or enterprise agreement. The export process and available formats will be specified in the applicable data-retention policy or enterprise agreement.
14.2. Data Retention
ProductOS will retain Customer Content for as long as reasonably necessary to provide the Services, fulfill the purposes described in its Privacy Policy, comply with legal obligations, resolve disputes, and enforce applicable agreements.
The specific retention periods for active accounts, canceled accounts, backups, and other stored data will be described in the applicable retention policy.
14.3. Deletion
Following termination and the expiration of any applicable export period, ProductOS will delete or otherwise dispose of Customer Content in accordance with its retention policy, applicable law, and any applicable contractual obligations.
Some information may be retained where legally required or reasonably necessary for security, dispute resolution, or compliance purposes.
14.4. Model Improvement and Previously Processed Data
Because Customer Content may be used for Model-Improvement Processing under Section 6.2 irrespective of Subscription plan, deletion of Customer Content from active systems does not necessarily mean that previously trained or updated internal models can be fully reversed, or that all derived model parameters can be removed. Where you have submitted a written opt-out request under Section 6.2, ProductOS will apply the agreed arrangement on a going-forward basis; it may not be possible to reverse Model-Improvement Processing that occurred before the request was received.
ProductOS's model-improvement practices, retention policies, and applicable data-protection obligations will govern the handling of such information.
Any applicable data deletion, withdrawal, or other legal rights will be addressed in accordance with applicable law and the relevant policies.
15. Warranties and Disclaimers
15.1. Service Disclaimer
To the maximum extent permitted by applicable law, ProductOS provides the Services on an "as available" basis and does not guarantee that the Services will be uninterrupted, error-free, or available at all times.
15.2. AI Output Disclaimer
AI Outputs may contain errors, omissions, inaccurate information, or incomplete recommendations.
ProductOS does not guarantee the accuracy, completeness, reliability, originality, or suitability of AI Outputs for a particular purpose.
You are responsible for reviewing AI Outputs before relying on them or implementing them in business or technical workflows. See also Section 6.4.
15.3. No Professional Advice
ProductOS is a software platform and does not provide legal, financial, medical, or other regulated professional advice.
AI Outputs should not be treated as a substitute for qualified professional judgment where such advice is required.
15.4. Mandatory Rights
Nothing in these Terms excludes or limits any warranty, right, remedy, or protection that cannot legally be excluded or limited under applicable law.
16. Limitation of Liability
16.1. Exclusion of Certain Damages
To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of profits, revenue, goodwill, or business opportunities, arising out of or relating to the Services.
This exclusion does not apply to the extent such damages cannot legally be excluded, or to damages arising from a party's gross negligence, willful misconduct, or fraud.
16.2. Liability Cap
To the maximum extent permitted by applicable law, ProductOS's aggregate liability arising out of or relating to the Services or these Terms will not exceed the total fees paid or payable by the Customer to ProductOS during the 12-month period immediately preceding the event giving rise to the claim.
For Customers on a Free Subscription, ProductOS's aggregate liability will not exceed USD 100 (or the equivalent in local currency), to the maximum extent permitted by applicable law.
This cap does not apply to (a) a party's gross negligence, willful misconduct, or fraud; (b) a Customer's payment obligations under Section 10; (c) a party's indemnification obligations under Section 17; or (d) any liability that cannot be limited under applicable law.
16.3. Exceptions
Nothing in these Terms limits liability to the extent such limitation is prohibited by applicable law, including any mandatory consumer rights or other non-excludable obligations.
17. Indemnification
17.1. Customer Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless ProductOS and its directors, officers, employees, and affiliates from third-party claims, losses, and reasonable expenses arising directly from:
- Your unlawful use of the Services.
- Your material breach of these Terms.
- Your infringement of third-party rights through Customer Content you provide.
- Your violation of applicable law in connection with your use of the Services.
This obligation is subject to applicable law and the limitations set out in these Terms.
17.2. Indemnification Procedure
A party seeking indemnification will provide reasonably prompt notice of the claim, cooperate in the defense, and allow the indemnifying party to control the defense and settlement, provided that no settlement may impose an admission of liability or ongoing obligation on the indemnified party without its consent.
The final scope of indemnification and any exclusions will be set out in the applicable agreement.
18. Governing Law and Dispute Resolution
18.1. Governing Law
These Terms will be governed by the laws of India, subject to applicable mandatory legal protections.
18.2. Dispute Resolution
The parties will attempt to resolve disputes arising out of or relating to these Terms through good-faith discussions.
If a dispute cannot be resolved informally, it may be brought before a court of competent jurisdiction in India, subject to applicable law and mandatory rights available to consumers.
Nothing in this section limits any right to bring a complaint before a competent consumer authority or other regulatory body where such a right is available under applicable law.
18.3. International Customers
Customers located outside India may have mandatory rights under the laws of their country of residence.
Nothing in these Terms is intended to exclude or restrict mandatory legal protections that apply to a Customer under applicable law.
19. General Provisions
19.1. Amendments
ProductOS may update these Terms from time to time.
Where a change materially affects your rights or obligations, ProductOS will provide reasonable notice through email, an in-product notification, or another appropriate communication method, subject to applicable law.
The revised Terms will specify their effective date.
19.2. Assignment
You may not assign or transfer these Terms without ProductOS's prior written consent, except where permitted by applicable law.
ProductOS may assign these Terms as part of a merger, acquisition, restructuring, or transfer of substantially all of its relevant business or assets, subject to applicable law.
19.3. Force Majeure
Neither party will be liable for a failure or delay in performance caused by events beyond its reasonable control, including natural disasters, government actions, war, widespread infrastructure failures, or other comparable events.
This provision does not excuse obligations that cannot legally be excused.
19.4. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
19.5. Waiver
A failure or delay in exercising a right under these Terms does not constitute a waiver of that right.
19.6. Entire Agreement
These Terms, together with the applicable Privacy Policy and any enterprise agreement, constitute the agreement between you and ProductOS regarding the Services.
19.7. Notices
ProductOS may provide notices through email, in-product notifications, or other reasonable communication methods.
Legal notices to ProductOS must be sent to:
ProductOS
Email: hi@productos.live
20. Intellectual Property Complaints
ProductOS respects intellectual property rights and expects Customers to do the same.
If you believe that content available through ProductOS infringes your intellectual property rights, you may submit a written complaint to hi@productos.live.
Your complaint should include:
- Identification of the intellectual property right allegedly infringed.
- Identification and location of the allegedly infringing content.

- A declaration that the information provided is accurate and that you are authorized to submit the complaint.
ProductOS may investigate valid complaints and take appropriate action, including removing or restricting access to content where warranted by applicable law.
